For the sales network
Sviby Sales Outlet General Terms
Effective from 10 February 2026
General provisions
These General Terms govern the operation of sales outlets of Sviby OÜ (registry code 14497487, hereinafter "Sviby").
An Outlet is a legal entity that has entered into a cooperation agreement with Sviby to operate as a Sviby Sales Outlet and accepts these General Terms.
The General Terms form an integral part of the agreement. Breach may lead to termination of cooperation in accordance with these General Terms.
Definitions:
"Platform" means Sviby's ticketing and box office information system.
"Sales Service" means selling tickets at the Outlet through the Platform.
"Service Fee" means the fee payable to the Outlet for each ticket sold, unless otherwise agreed.
Outlet activation and users
The Outlet applies to Sviby to open a sales outlet, specifying its location, opening hours and the staff providing the service.
Sviby creates all Outlet user accounts. The Outlet may not grant access to third parties itself.
The Outlet is responsible for ensuring that only trained staff who follow Sviby's instructions use the Platform.
User accounts are personal and may not be shared. Sviby may apply two-factor authentication and other security measures.
Sales service, remuneration and settlements
The Outlet sells tickets for events published on the Platform at its location, using Sviby's box office solution.
The Outlet's Service Fee is 1 (one) euro per ticket sold, including VAT, unless the Parties agree otherwise in writing.
The Service Fee is not paid separately to the Outlet. It is withheld from ticket revenue transferred to Sviby according to the official sales report. Sviby issues the Outlet a separate document accounting for the Service Fee.
The Service Fee is added to the ticket price by default. The Outlet may choose not to add it to the ticket price at its own commercial discretion.
The Outlet collects funds received for tickets and undertakes to keep them separate from its other cash flows.
Sviby prepares an official sales report by the 5th day of each month.
The Outlet transfers the reported sales revenue to Sviby no later than 14 calendar days after the report is sent.
If the payment deadline is exceeded, Sviby may suspend the Outlet's access to the Platform until its obligations are fulfilled.
Outlet obligations and quality requirements
The Outlet undertakes to:
provide customers with proper and courteous service;
follow Sviby's instructions and standards;
ensure sufficient service hours according to the agreement or publicly available information;
avoid misleading or harmful information about Sviby or events;
display the "Sviby sales outlet" sign provided by Sviby prominently and keep it in good condition;
immediately forward all ticket buyer claims and complaints to Sviby;
provide customers only with tickets and receipts generated through the Sviby Platform.
Sviby may assess service quality, including test purchases and customer satisfaction surveys. If quality requirements are breached, Sviby gives the Outlet a written warning and at least 5 working days to remedy the issue, except for serious breaches warranting immediate termination.
Sviby's obligations
Sviby undertakes to:
create and activate the Outlet's necessary user accounts on the Platform;
ensure the Platform's normal operation, excluding maintenance, system updates and interruptions beyond Sviby's control;
provide the Outlet with instructions and training in using the Platform where needed;
prepare an official sales report for the Outlet every two weeks;
pay the Outlet's Service Fee on time;
provide a "Sviby sales outlet" sign free of charge and replace it where needed;
notify the Outlet at least 14 days in advance of material changes to the service, price list or General Terms.
Termination of the agreement and cooperation
Cooperation is for an indefinite period.
Sviby may terminate the agreement unilaterally if:
the Outlet delays payments or reporting by more than 7 days;
breaches continue after a warning;
the Outlet harms Sviby's reputation or trustworthiness;
a serious breach makes continued cooperation impossible;
Sviby changes the structure of its sales network.
The Outlet may terminate the agreement by giving 14 days' notice.
If the Outlet does not agree to changes, it may end cooperation within 14 days of notification of the change.
On termination, all Outlet accounts and access to the Platform are closed.
Processing of personal data
The Outlet processes ticket buyers' personal data only on Sviby's behalf and according to its instructions, solely to provide the ticket sales service.
The Outlet acts as a processor and undertakes to comply with all data protection requirements.
On termination, the Outlet must delete all personal data or return it to Sviby, unless retention is required by law.
The Outlet may not transfer data outside the European Economic Area without Sviby's written consent.
Outlet options
The Outlet may sell its own events through Sviby's box office platform without the sales network service fee.
An "own event" means an event whose official organiser is the Outlet itself.
Sviby may request evidence of organiser status and charge the sales network fee retroactively in cases of misuse.
The Outlet is responsible for the content, organisation and accuracy of information for its own events.
Liability and limitations
Both Parties are liable for direct damage resulting from a breach of these General Terms.
The Parties are not liable for lost revenue, profit or indirect damage.
The limitation of liability does not apply to intentional acts, gross negligence or fraud.
The Outlet has no right to represent Sviby or enter into agreements with third parties on Sviby's behalf.
Sviby is not liable for interruptions caused by telecommunications operators, the Outlet's equipment or other circumstances beyond Sviby's control.
Confidentiality
The Outlet undertakes to keep all information about Sviby's business, customer data and other non-public information confidential.
The confidentiality obligation continues after termination.
Force Majeure
The Parties are released from liability if a force majeure event prevents performance, such as a natural disaster, pandemic, power outage or strike.
The Party affected by force majeure notifies the other Party as soon as possible.
Other provisions
These terms are interpreted together with the cooperation agreement and Sviby's terms of use.
Sviby may amend the General Terms with at least 14 days' notice. If the Outlet disagrees with the changes, it may terminate the agreement under clause 6.4.
Disputes are first resolved through negotiation and, where necessary, at Harju County Court under the laws of the Republic of Estonia.
All official notices, including invoices, claims and termination notices, are sent to the contacts specified in the agreement's annex, by email and postal address.
